Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Terjit Solutions website (the "Site"). By using the Site, you agree to these Terms. If you engage Terjit for paid services, those services are governed by a separate written agreement (for example, a Master Services Agreement, Statement of Work, or consulting agreement). If there is any conflict, the separate written agreement controls for that engagement.

1) Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms.

You agree not to:

attempt to gain unauthorized access to the Site or its systems
interfere with the Site's operation (including scraping, probing, or introducing malware)
use the Site to transmit spam or unlawful content
misrepresent your identity or affiliation when contacting us

2) Intellectual property

The Site and its content (text, graphics, logos, and layout) are owned by Terjit or its licensors and are protected by intellectual property laws.

You may view and use the Site for your internal informational purposes. You may not copy, modify, distribute, sell, or create derivative works from the Site content without our written permission, except as allowed by law.

3) Services and engagement terms

Information on the Site about services is provided for general informational purposes and is not an offer or guarantee.

Any services we provide will be defined in a separate written agreement, including scope, pricing, deliverables, timelines, acceptance criteria (if any), and support terms.

4) Client work product (if you hire us)

Unless otherwise stated in a separate written agreement:

Client ownership: upon full payment, clients own the custom deliverables created specifically for them ("Work Product").

Terjit background IP: Terjit retains ownership of its pre-existing materials, tools, templates, libraries, know-how, and reusable components ("Background IP").

License to Background IP: if Terjit Background IP is included in the Work Product, Terjit grants the client a non-exclusive, worldwide, perpetual license to use that Background IP only as needed to use the Work Product for the client's internal business purposes.

Third-party materials: Work Product may include third-party components (including open source) governed by their own licenses. Those licenses apply.

(If you want different IP terms, put them in the service agreement. That's where the "iron clad" version lives.)

5) Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERJIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components.

6) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERJIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERJIT'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

(Some jurisdictions limit liability caps; this applies to the extent permitted.)

7) Indemnification

You agree to indemnify and hold harmless Terjit from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or third-party rights.

8) Third-party links

The Site may contain links to third-party sites. Terjit does not control and is not responsible for third-party content, policies, or practices.

9) Termination

We may suspend or terminate access to the Site at any time if we reasonably believe you have violated these Terms or are creating risk or legal exposure.

10) Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Any dispute arising from these Terms or the Site will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

11) Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Continued use of the Site after changes means you accept the updated Terms.
